Reports to: General Counsel
SUMMARY:
Our client is seeking a paralegal to work directly with the General Counsel in a dynamic role and provide paralegal support in a variety of legal areas, including employment, regulatory and corporate governance. In addition, the paralegal will serve as the contract management program administrator and provide contract management support.
GENERAL DUTIES & RESPONSIBILITIES:
Responsibilities:

Contract management, including maintaining our contract management system and conducting vendor due diligence and third-party risk assessments.

Review, drafting, negotiation, administration, and other support of contracts, MSAs, SOWs, NDAs, vendor questionnaires.

Act as liaison between internal business partners, General Counsel, and outside counsel and vendors for contract drafting, negotiations, processes, and inquiries.

Creating new and updating existing templates.

Preparing legal correspondence, filings, and other documents for the General Counsel.

Contribute to various legal initiatives in the operation of the insurance business.

Interface and collaborate with all departments and internal clients, including HR, Finance, Underwriting, IT to assist with legal inquiries.

Conduct legal and fact research.

Research and tracking of regulatory developments, legislative bulletins, to update compliance policies and procedures.

Management of Excess and Surplus renewals.

Support and development of document retention program.

Support for Executives, Corporate Secretary and assist with Board and corporate governance matters.

Participate in special projects as needed.
Qualifications:

3+ years of experience, preferably in-house at an insurance company, as a paralegal.

Associates Degree required.

Bachelor’s Degree preferred.

Paralegal certificate is a plus.

Demonstrated knowledge of insurance industry preferred but not required.

Licensed notary preferred but not required.

Prior contract management experience preferred.

Experience with vendor contracts, MSAs, SOWs, NDAs and understanding of contractual language, contract governance, contract renewals.

Ability to work both independently and as a team member.

Ability to handle confidential and proprietary information with discretion and judgment.

Strong computer skills, including DocuSign, MS Word, Outlook, Excel, and PowerPoint.

Highly detail-oriented and organized.

Accuracy and attention to detail are a must.

Proactive and able to identify legal risks and potential liabilities.
